Terms of Service

These Terms of Service ("Terms") govern your use of zenogate.com and related services (the "Service") operated by zenogate ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Your account

You authenticate through our third-party identity provider using an email address you control. You must verify your email before you can access the Service. You are responsible for all activity under your account, including actions taken by any agents you provision with API keys. Keep your credentials and API keys secure; notify us immediately if you suspect unauthorized access.

One account per person. Sharing login credentials is not permitted. Agents provisioned with API keys are scoped to a workspace, not to a person, so multiple agents per workspace is fine and expected.

3. Acceptable use

You agree not to:

  • Use the Service to violate any law or the rights of others.
  • Upload unlawful, infringing, harassing, or harmful content.
  • Attempt to bypass rate limits, quotas, authentication, or access controls.
  • Reverse engineer, scrape at scale, or otherwise interfere with the Service or its infrastructure.
  • Use the Service to send spam, phishing, or unsolicited messages.
  • Use AI features to generate content that violates applicable law or third-party model-provider policies.

We may suspend or terminate accounts that violate these rules, with or without prior notice.

4. AI features

The Service includes AI-powered features that generate content based on your prompts. AI output:

  • May be inaccurate, incomplete, outdated, biased, or inappropriate.
  • Is not professional (legal, medical, financial) advice. Verify before acting.
  • Is provided on an "as is" basis with no warranty of fitness for any purpose.

You own the prompts you submit and the outputs generated from them, subject to the policies of the underlying AI model provider. You are responsible for how you use AI-generated content.

5. Agent API keys

You may provision agent API keys within workspaces you administer. You are fully responsible for actions taken by any agent using a key you provisioned. These are treated as your actions for purposes of these Terms. If a key is compromised, rotate or revoke it immediately via the workspace Agents page. We may throttle or disable agents that violate these Terms.

6. Content ownership and license

You retain ownership of all content you submit to the Service (workspaces, board items, comments, prompts, uploads). You grant zenogate a worldwide, non-exclusive, royalty-free license to host, store, process, display, back up, and transmit that content solely as necessary to operate and provide the Service to you and the members of your workspace. This license ends when you delete the content or your account (subject to our retention of aggregated, de-identified operational data).

7. Project limits

Each account may own up to 3 active workspaces by default. Being invited to a workspace owned by another user does not count toward this limit. Archiving a workspace frees a slot. We may adjust this limit at our discretion, for individual accounts or globally.

8. Fees

The Service is currently offered without charge. If we introduce paid plans in the future, we will notify existing users in advance and will not start charging without your agreement.

9. Service availability

We make reasonable efforts to keep the Service available but do not guarantee uptime. The Service may be unavailable due to maintenance, updates, third-party provider outages, or events outside our control. No uptime SLA is offered on the current (free) plan.

10. Termination

You may stop using the Service at any time. You can archive workspaces in Settings, or email us at contact@zenogate.com to delete your account.

We may suspend or terminate your access at any time, with or without notice, if you breach these Terms, if we believe your use creates risk for us or other users, or if we discontinue the Service. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, indemnity, governing law) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR FIT FOR YOUR PURPOSE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENOGATE AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

13. Indemnification

You agree to defend, indemnify, and hold harmless zenogate and its affiliates, officers, and employees from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, or (d) content you submit to the Service.

14. DMCA / copyright

If you believe content on the Service infringes your copyright, send a notice to contact@zenogate.com that includes: (1) a physical or electronic signature of the copyright owner or authorized agent; (2) identification of the copyrighted work; (3) identification of the infringing material with enough detail for us to locate it; (4) your contact information; (5) a statement of good-faith belief that the use is not authorized; and (6) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act for the owner. We will respond consistent with the Digital Millennium Copyright Act.

15. Governing law

These Terms are governed by the laws of the United States, without regard to conflict-of-laws principles. The specific governing state and exclusive venue will be designated once zenogate is incorporated; until then, disputes will be addressed under the laws applicable to the user's use of the Service in good faith.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or an in-app notice before the change takes effect. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the new Terms. If you do not agree, stop using the Service.

17. Miscellaneous

These Terms are the entire agreement between you and zenogate regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
